1.The agreement
These Terms of Service (“Terms”) are an agreement between [COMPANY LEGAL NAME] (“we”, “us”) and the business or individual that creates an account (“you”, the “Customer”) for AIPageBuilder at https://aipagebuilder.app and related services (the “Service”). By creating an account or using the Service you accept these Terms. If you accept on behalf of a company, you confirm you can bind it.
The Privacy Policy and the Data Processing Addendum (“DPA”) form part of these Terms. The Service is intended for businesses; you must be at least 18 and use it for business purposes.
2.Accounts and workspaces
You are responsible for the information you give us, for keeping sign-in credentials secret and for everything that happens under your account, including actions by team members you invite to your workspace. Tell us promptly at support@aipagebuilder.app if you suspect unauthorised access.
The workspace owner controls the workspace and its data. If there is a dispute between team members about who controls a workspace, we may rely on the owner of record or the person paying for the subscription.
3.Acceptable use
You agree not to use the Service to:
- break any law, or infringe anyone’s intellectual property, privacy or publicity rights;
- send spam, unsolicited messages, or messages to people who have not consented where consent is required;
- publish content that is deceptive, fraudulent, defamatory, hateful, sexually exploitative or that promotes violence;
- phish, collect credentials or payment details under false pretences, or impersonate another person or business;
- sell prohibited or restricted goods or services under Stripe’s policies or applicable law;
- upload malware, probe or overload our systems, bypass plan limits or security controls, or scrape the Service;
- collect sensitive information (such as health, financial account or government ID data) unless the law allows it and you have the required consents and safeguards.
We may remove content or suspend features or accounts that we reasonably believe break this section.
4.Your content and your end-customers
You own the pages, text, images, files and data you put into the Service (“Customer Content”). You give us a limited licence to host, copy, process and display Customer Content only as needed to provide, secure and improve the Service for you.
Many of the people in your CRM, bookings, forms, inbox and client portal are your clients and leads (“End-Customers”). For their personal information you are the business (controller) and we act as your service provider (processor) under the DPA. You are responsible for having a lawful basis and any required notices and consents for the End-Customer data you collect, and for publishing your own privacy policy on your pages where the law requires one.
5.AI features
The Service uses third-party AI models (listed on our subprocessors page) to draft pages, copy, emails, images and replies. AI output can be inaccurate, incomplete, generic or similar to output produced for others. You must review AI output before you publish or send it and you are responsible for what you publish, including claims about results, prices, health, income or credentials.
We do not use your Customer Content to train AI models, and we choose AI providers and settings that do not use data sent through our API accounts for model training. Where the law requires it, or where people might reasonably think they are talking to a human (for example an AI chat or voice agent on your pages), you must disclose that AI is used.
6.Fees, payments and Stripe
Your subscription
Paid plans are billed in advance through Stripe, monthly or yearly, at the prices on our pricing page. Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time in billing settings; cancellation takes effect at the end of the current period and you keep access until then. Except where the law requires otherwise, fees already paid are not refundable. We may change prices with at least 30 days’ notice, effective at your next renewal. Fees exclude taxes, which you pay where applicable.
Taking payments from your End-Customers
To accept payments you connect your own Stripe account through Stripe Connect. Payment processing is provided by Stripe and is subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. You are the merchant of record and are responsible for your products, refunds, disputes, chargebacks, receipts and taxes. Stripe’s processing fees apply. In addition, we charge a platform fee on payments you collect, at the percentage set by your plan and shown on the pricing page and in your billing settings; it is deducted automatically from each payment.
If a payment for your subscription fails we may limit paid features until it is resolved.
7.Email and SMS compliance
You are the sender of messages you send to End-Customers through the Service, and you are responsible for them.
Email (CAN-SPAM)
- Include your valid physical postal address in commercial email (you set it in Settings → Messaging).
- Use accurate “From” details and non-deceptive subject lines, and identify ads as ads where required.
- Keep the unsubscribe link we add, and honour opt-outs promptly (we suppress unsubscribed contacts automatically).
- Send marketing email only to people you are allowed to contact.
Text messages (TCPA)
- Obtain prior express written consent before sending marketing texts, and keep a record of it.
- Respect quiet hours (no texts before 8 a.m. or after 9 p.m. in the recipient’s local time, or stricter state rules) and do-not-call rules.
- Honour STOP and other opt-out requests immediately, and include opt-out instructions.
Our tools (consent records, unsubscribe links, suppression lists, quiet hours) help, but they do not make you compliant on their own. You will indemnify us for claims arising from messages you send (see section 12).
8.Free plans and beta features
Free plans, trials and features labelled beta, preview or early access are provided “as is”, may have limits, may change or be withdrawn at any time, and carry no service commitments. We may remove inactive free workspaces after notice.
9.Our intellectual property and feedback
We own the Service, its software, templates and design. You get a non-exclusive, non-transferable right to use it during your subscription under these Terms. Templates you use in your pages may be used in your published pages. If you send us feedback, we may use it without obligation to you.
10.Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT AI OUTPUT WILL BE ACCURATE, OR THAT YOU WILL GET ANY PARTICULAR BUSINESS RESULT.
11.Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR US$100 IF YOU PAID NOTHING). These limits do not apply to your payment obligations or your indemnity obligations, or where the law does not allow them.
12.Indemnity
You will defend and indemnify [COMPANY LEGAL NAME] and its officers, employees and agents against third-party claims, fines and reasonable costs (including legal fees) arising from your Customer Content, your products or services, your messages to End-Customers (including CAN-SPAM, TCPA and state-law claims), your use of Stripe, or your breach of these Terms or the law.
13.Suspension and termination
You may stop using the Service and close your workspace at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, create legal or security risk, or if required by law; where reasonable we will give notice first.
After termination you can request an export of your Customer Content for 30 days; after that we delete it as described in the Privacy Policy and DPA. Sections that by their nature should survive (fees owed, disclaimers, liability, indemnity, disputes) survive termination.
14.Governing law and disputes
These Terms are governed by the laws of the State of [GOVERNING LAW STATE] and applicable US federal law, without regard to conflict-of-laws rules.
Before starting any formal proceeding, contact us at support@aipagebuilder.app and we will try in good faith to resolve the dispute within 30 days. If we cannot, the dispute will be heard exclusively in the state or federal courts located in [GOVERNING LAW STATE], and both parties consent to those courts’ jurisdiction. Either party may seek urgent injunctive relief in any competent court.
15.Changes and general terms
We may update these Terms. For material changes we will notify workspace owners by email or in the app at least 30 days before they take effect; continuing to use the Service after that date means you accept them. The “Last updated” date above shows the latest version.
These Terms are the entire agreement on this subject. If a provision is unenforceable the rest remains in effect. You may not assign these Terms without our consent; we may assign them in a merger or sale of our business. Neither party is liable for delays caused by events beyond its reasonable control. Notices to us go to support@aipagebuilder.app and to [COMPANY LEGAL NAME], [COMPANY POSTAL ADDRESS].
